1. DEFINITIONS AND PROTECTED PARTIES
"Confuorto" refers to Confuorto Consultancy Inc. and all affiliated entities.
"Protected Parties" means and includes Confuorto Consultancy Inc., together with its past, present, and future owners, shareholders, members, stakeholders, principals, directors, officers, managers, employees, contractors, subcontractors, consultants, partners, joint venturers, agents, representatives, affiliates, parent companies, subsidiaries, related entities, data providers, information sources, successors, assigns, heirs, executors, administrators, insurers, and any and all persons or entities acting on behalf of or at the direction of any of the foregoing.
"Recipient" means any individual, entity, or organization that accesses, receives, reviews, uses, relies upon, copies, distributes, or otherwise interacts with any Report or Information provided by Confuorto, including Recipient's employers, principals, clients, affiliates, successors, and assigns.
"Report" and "Information" mean any and all reports, documents, data, findings, analyses, assessments, work products, deliverables, communications, and information of any kind provided by Confuorto or the Protected Parties.
2. REPORT PREPARATION AND DATA SOURCES
All Reports are prepared by Confuorto Consultancy Inc. Information, intelligence, and data contained in these Reports may be provided by Aeroshield Inc., a licensed investigative agency, as well as third-party data sources, public records, proprietary databases, governmental agencies, and other external sources.
THE PROTECTED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- Warranties of accuracy, completeness, timeliness, or reliability
- Warranties of merchantability or fitness for a particular purpose
- Warranties of non-infringement
- Any warranty that Reports or Information are error-free or uninterrupted
- Any warranty regarding the correctness, timeliness, reliability, or completeness of third-party data sources, public records, databases, governmental agencies, investigative findings, or any external information referenced, relied upon, or included in any Report
3. NATURE AND PURPOSE OF REPORTS
FCRA NOTICE: These Reports are NOT consumer reports as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq. These Reports are NOT intended and shall NOT be used for:
- Employment decisions or screening
- Credit determinations or evaluations
- Insurance underwriting
- Tenant screening
- Any other purpose governed by the FCRA or similar state laws
These Reports are strictly intended for business due diligence, risk assessment, competitive intelligence, and internal decision-making purposes only.
The Protected Parties are NOT:
- Credit reporting agencies
- Consumer reporting agencies
- Investigative consumer reporting agencies
as those terms are defined under federal or state law.
The Protected Parties do NOT provide legal advice, tax advice, financial advice, investment advice, credit scores, creditworthiness determinations, or any professional services requiring licensure beyond investigative services duly licensed in applicable jurisdictions.
4. ACCEPTANCE AND BINDING AGREEMENT
By accepting, accessing, reviewing, copying, distributing, or using any Report or Information provided by Confuorto in any manner whatsoever, Recipient expressly and irrevocably agrees to be bound by all terms and conditions set forth in this Disclaimer.
If Recipient does not agree to these terms in their entirety, Recipient is NOT authorized to access, use, review, retain, copy, or distribute any Report or Information. Recipient must immediately:
- Return or destroy all copies in Recipient's possession or control
- Certify such destruction in writing upon request
- Cease all use thereof
5. COMPREHENSIVE INDEMNIFICATION
Recipient hereby unconditionally and irrevocably agrees to indemnify, defend, protect, and hold completely harmless the Protected Parties from and against any and all claims, demands, actions, causes of action, lawsuits, proceedings, investigations, inquiries, subpoenas, liabilities, judgments, awards, settlements, losses, damages (including but not limited to direct, indirect, incidental, consequential, special, exemplary, punitive, treble, or any other damages of any kind or nature), costs, expenses, fees (including reasonable attorneys' fees, expert witness fees, consultant fees, and court costs), fines, penalties, sanctions, and any other liability of any kind whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, contingent or fixed, liquidated or unliquidated, arising out of, resulting from, relating to, or in any way connected with:
(a) Recipient's access to, use of, reliance upon, interpretation of, or distribution of any Report or Information provided by Confuorto or the Protected Parties;
(b) Any decision, action, or inaction taken by Recipient or any third party based upon any Report or Information;
(c) Any disclosure, dissemination, transmission, or distribution of any Report or Information to any third party, whether authorized or unauthorized;
(d) Any inaccuracy, error, omission, incompleteness, or alleged deficiency in the Information contained in any Report;
(e) Any violation of applicable federal, state, local, or international laws, regulations, ordinances, or rules by Recipient in connection with the use, distribution, or handling of any Report or Information;
(f) Any breach of confidentiality, privacy rights, data protection laws, or security obligations relating to any Report or Information;
(g) Any claims by third parties arising from Recipient's use of, reliance upon, or distribution of any Report or Information;
(h) Any alleged or actual violation of export control laws, including but not limited to the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or any sanctions administered by the Office of Foreign Assets Control (OFAC), arising from Recipient's handling of any Report or Information;
(i) Any claim that Recipient's use of any Report or Information violates the FCRA, state consumer reporting laws, or any similar statute or regulation;
(j) Any defamation, libel, slander, invasion of privacy, or similar claim arising from Recipient's use or dissemination of any Report or Information; or
(k) Any other matter arising from or relating to any Report, Information, or the relationship between Recipient and the Protected Parties.
Defense Obligations: Recipient's duty to defend shall arise immediately upon tender of any claim and shall not be contingent upon any determination of liability. Recipient shall provide defense using counsel reasonably acceptable to the Protected Parties.
6. SOLE RESPONSIBILITY OF RECIPIENT
Recipient expressly acknowledges and agrees that it is strictly and solely Recipient's responsibility to:
(a) Determine the lawfulness of obtaining, using, disseminating, and distributing the Information contained in any Report under all applicable federal, state, local, and international laws, regulations, and ordinances;
(b) Ensure compliance with all applicable privacy laws, data protection regulations, consumer protection statutes, export control requirements, sanctions laws, and industry-specific requirements;
(c) Conduct independent verification and validation of any Information contained in any Report before relying upon it for any purpose whatsoever;
(d) Vet, qualify, and extend equivalent indemnification and liability protections to any and all third parties granted access to any Report or Information;
(e) Maintain the confidentiality and security of all Reports and Information and prevent unauthorized access, use, disclosure, or distribution;
(f) Obtain all necessary consents, authorizations, licenses, and permissions required for the lawful use of any Report or Information;
(g) Bear all risks and consequences associated with the use, misuse, interpretation, or reliance upon any Report or Information;
(h) Ensure that any third parties with whom Recipient shares Reports or Information are made aware of and expressly agree in writing to be bound by terms no less protective than those contained in this Disclaimer;
(i) Maintain records sufficient to demonstrate compliance with this Disclaimer and applicable law; and
(j) Notify Confuorto immediately upon becoming aware of any unauthorized access, use, or disclosure of any Report or Information.
7. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
The Protected Parties shall NOT be liable to Recipient or any third party for any direct, indirect, incidental, consequential, special, exemplary, punitive, treble, or any other damages of any kind or nature, including but not limited to:
- Loss of profits, revenue, or business
- Loss of data or information
- Loss of goodwill or reputation
- Business interruption
- Cost of substitute services
- Any other commercial damages or losses
arising out of or relating to any Report, Information, or the services provided by the Protected Parties, REGARDLESS OF:
- The theory of liability (whether in contract, tort, strict liability, negligence, breach of warranty, or otherwise)
- Whether the Protected Parties have been advised of the possibility of such damages
- Whether such damages were foreseeable
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PROTECTED PARTIES EXCEED THE FEES ACTUALLY PAID BY RECIPIENT TO CONFUORTO FOR THE SPECIFIC REPORT GIVING RISE TO THE CLAIM.
8. NO RELIANCE; INDEPENDENT VERIFICATION REQUIRED
Recipient acknowledges and agrees that:
- All Reports and Information are provided for informational purposes only
- Reports and Information should NOT be relied upon as the sole basis for any decision
- Recipient shall conduct independent verification, investigation, and due diligence before taking any action or making any decision based upon any Report or Information
- The Protected Parties make no representation that any Report or Information is suitable for Recipient's particular purposes
- Recipient assumes all risk associated with reliance on any Report or Information
9. CONFIDENTIALITY
Recipient shall maintain all Reports and Information in strict confidence and shall not disclose, disseminate, publish, or distribute any Report or Information to any third party without the prior written consent of Confuorto, except:
- To Recipient's employees, agents, or advisors with a legitimate need to know, provided such persons are bound by confidentiality obligations no less protective than those contained herein
- As required by law, provided Recipient gives Confuorto prompt written notice and cooperates with any effort to obtain protective treatment
10. MAXIMUM LEGAL PROTECTION
These terms and conditions are intended to provide the maximum protection available to the Protected Parties under applicable law. To the fullest extent permitted by law, the Protected Parties shall have no liability whatsoever to Recipient or any third party for any reason.
In jurisdictions where limitations on liability or certain disclaimers are not permitted, the Protected Parties' liability shall be limited to the maximum extent permitted by applicable law.
11. INTEGRATION AND MODIFICATION
This Disclaimer constitutes the entire agreement between Recipient and the Protected Parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, representations, warranties, negotiations, or discussions, whether written or oral.
This Disclaimer may NOT be modified, amended, waived, or supplemented except by a written instrument signed by a duly authorized officer or principal of Confuorto Consultancy Inc.
No course of dealing, course of performance, usage of trade, or industry custom shall modify or supplement the terms of this Disclaimer. No failure or delay by the Protected Parties in exercising any right shall operate as a waiver thereof.
12. SEVERABILITY
If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
- Such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent
- If such modification is not possible, such provision shall be severed from this Disclaimer
- The remaining provisions shall remain in full force and effect
- The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original
13. SURVIVAL
All provisions relating to indemnification, limitation of liability, disclaimers of warranties, confidentiality, and governing law shall survive any termination or expiration of the relationship between Recipient and the Protected Parties and shall remain in full force and effect indefinitely.
14. GOVERNING LAW AND JURISDICTION
This Disclaimer and any disputes arising out of or relating to any Report or Information provided by Confuorto shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflicts of law principles.
Recipient irrevocably consents and submits to the exclusive jurisdiction and venue of the state and federal courts located in Waukesha County, Wisconsin for any action, suit, or proceeding arising out of or relating to any Report, Information, or this Disclaimer.
Recipient waives any objection to such jurisdiction or venue, including any objection based on forum non conveniens.
15. WAIVER OF JURY TRIAL
TO THE FULLEST EXTENT PERMITTED BY LAW, RECIPIENT HEREBY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO ANY REPORT, INFORMATION, OR THIS DISCLAIMER.
16. ATTORNEYS' FEES
In the event of any action, suit, or proceeding arising out of or relating to this Disclaimer, the prevailing party shall be entitled to recover its reasonable attorneys' fees, expert witness fees, and costs from the non-prevailing party.
ACKNOWLEDGMENT
BY ACCESSING OR USING ANY REPORT OR INFORMATION PROVIDED BY CONFUORTO CONSULTANCY INC., RECIPIENT ACKNOWLEDGES THAT RECIPIENT HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY ALL TERMS AND CONDITIONS CONTAINED HEREIN.
